TERMS OF SERVICE & ARTIST SUBMISSION AGREEMENT

This Terms of Service & Artist Submission Agreement (the “Agreement”) is a legally binding contract between Variety Vibes Radio (“Company,” “we,” “us,” or “our”) and you (“User,” “Artist,” “you,” or “your”). This Agreement governs your access to and use of the Variety Vibes Radio website (www.varietyvibesradio.com), the mobile application, and our broadcasting channels on Roku and Amazon Firestick (collectively, the “Services”).

By accessing the Services or submitting content to Variety Vibes Radio, you agree to be bound by these terms. If you do not agree, you must immediately cease use of the Services.

1. DESCRIPTION OF SERVICES

Variety Vibes Radio is a global media platform providing:

  • Radio Airplay: 24/7 streaming for independent and established artists.
  • TV Broadcasting: Music video streaming and interviews on Roku and Firestick.
  • Media Features: Professional artist interviews and featured segments.
  • Marketing & Promotion: Social media campaigns, motion flyers, and brand development.
  • Mobile App Exposure: Digital connectivity between artists and listeners.

2. ELIGIBILITY

You must be at least 18 years of age to enter into this Agreement. If you are under 18, you may only use the Services with the express consent and supervision of a parent or legal guardian who agrees to be bound by these terms. By using the Services, you represent and warrant that you have the legal capacity to form a binding contract.

3. ARTIST SUBMISSION AGREEMENT & CONTENT LICENSE

By submitting music, videos, images, biographies, or other promotional materials (the “Content”) to Variety Vibes Radio, you agree to the following:

A. Grant of License: You grant Variety Vibes Radio a non-exclusive, worldwide, royalty-free, perpetual license to:

  • Stream and broadcast the Content on our radio station and TV channels.
  • Display the Content on our mobile app and website.
  • Use your name, stage name, likeness, and biographical materials for promotional purposes related to the Services.
  • Distribute snippets or full versions of the Content via social media and marketing campaigns.

B. Promotion: You grant us the right to use your name, stage name, likeness, and brand assets (including images and biographical materials) for the purpose of promoting your Content and our Services.

C. Curation Rights: Variety Vibes Radio reserves the right to curate all Content. Submission does not guarantee airplay, broadcast, or placement. We reserve the right to remove or refuse Content at our sole discretion without notice.

D. No Compensation: Unless otherwise agreed in a separate written sponsorship, advertising, Sponsorship, or Marketing Agreement, you acknowledge that submissions are for promotional exposure and do not entitle you to royalties, fees, or other compensation from Variety Vibes Radio.

4. REPRESENTATIONS AND WARRANTIES

You represent and warrant that:

  • You are the sole owner of all rights to the Content, including both the musical composition and the sound recording (or have obtained all necessary written licenses).
  • The Content does not infringe on the intellectual property, privacy, or publicity rights of any third party.
  • You have the full right and authority to enter into this Agreement.
  • The Content does not contain defamatory, obscene, or unlawful material.

5. USER CONDUCT

Users of the platform agree not to:

  • Upload or transmit viruses or malicious code.
  • Attempt to bypass any security measures of the website, app, or TV channels.
  • Engage in any activity that interferes with the performance of the Services.
  • Use the platform for any unauthorized commercial solicitation.

6. INTELLECTUAL PROPERTY OF VARIETY VIBES RADIO

All brand assets, including the Variety Vibes Radio name, logo, software, website design, and original programming content (interviews, hosted shows), are the exclusive property of Variety Vibes Radio. You may not use our intellectual property without prior written consent.

7. MARKETING AND PROMOTIONAL SERVICES

For artists or brands purchasing marketing packages (motion flyers, social media blasts, etc.), the specific deliverables and timelines will be governed by the invoice or service order provided at the time of purchase. All fees paid for promotional services are non-refundable once the service has commenced.

8. THIRD-PARTY LINKS AND SERVICES

Our Services may contain links to third-party websites or services. Variety Vibes Radio does not monitor or control these third parties and is not responsible for their content or privacy practices.

9. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. VARIETY VIBES RADIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARIETY VIBES RADIO IS NOT RESPONSIBLE FOR ANY TECHNICAL ISSUES, LOSS OF DATA, OR THIRD-PARTY COPYRIGHT CLAIMS RESULTING FROM THE BROADCAST OF YOUR CONTENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VARIETY VIBES RADIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SERVICES OR THE BROADCASTING OF CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Variety Vibes Radio and its owners, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from your breach of this Agreement or your violation of any law or third-party rights.

12. TERMINATION

We reserve the right to terminate your access to the Services or cease the broadcast of your Content at any time, for any reason, including but not limited to a violation of these Terms.

13. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the United States and the jurisdiction in which Variety Vibes Radio is headquartered, without regard to conflict of law principles. If any part of this Agreement is found unenforceable, the rest remains in effect.

14. ACCEPTANCE

By clicking “Submit,” “I Agree,” or by sending your Content to Variety Vibes Radio via email or submission forms, you agree to be bound by these terms.
